In short, NioX runs a spot exchange where you trade from money you already hold, we confirm who you are before you fund, we keep your assets apart from ours, and the sections below spell out what you can expect from us and what we ask of you.
1Scope and acceptance
This agreement is made between you and NioX, and it sets the rules for how you reach and use the NioX website, the NioX mobile application and the NioX exchange. You are bound the moment you register an account or begin using the service. Anyone who does not agree must stay off the service.
Certain products carry their own extra rules. The NioX Card runs under the card terms, while staking and earn products run under the staking and earn terms. Should one of those extra rules clash with this agreement, the extra rule wins, but only for the product it covers.
2Eligibility
Only an individual who is at least eighteen years old, who lives in a place NioX supports, and who is acting for themselves may register an account.
Registering or running an account is not permitted for anyone who sits under sanctions, who lives in a sanctioned territory, or who acts for the benefit of a person in either of those positions. When an account is found to fall here, NioX blocks it and files a report wherever the law calls for one.
A single individual is limited to one account. If we spot more than one account for the same person, the extras are shut and their balances move back to the verified account.
3Account opening and verification
The details you give at registration must be true and complete, and you have to keep them current. Before any funds reach the account NioX confirms who you are, and it may run that check again whenever it sees a reason to.
An application can be turned down, and an account can be paused or shut, whenever verification cannot be finished, whenever the details supplied prove wrong, whenever carrying on would put NioX in breach of a legal or regulatory duty, or whenever the account is put to a use this agreement forbids.
Keeping your login details and authentication factors private is your responsibility, as is everything done through your account. Tell NioX at once if you believe someone has reached your account without permission.
4Nature of the service
What NioX runs is an execution only spot exchange. We give no investment advice, no portfolio management, no tax guidance and no legal guidance, and nothing we publish should be read as a suggestion to buy, keep or sell any asset.
You will find no derivatives, no margin trading and no leverage here. Every order settles in full out of the balance sitting in your account when the order is accepted.
Any market data we show is there for information only. It can lag or drop out. The figure at which your order fills comes from the order book as it stands at the moment of matching.
5Orders and execution
Matching happens on a central limit order book that ranks orders by price and then by time, exactly as the trading rules describe. Both limit orders and market orders can be placed.
Recording an order on the book counts as acceptance, yet acceptance is no promise that the order will fill. A limit order that finds no match simply waits on the book until it matches, is cancelled, or is voided by a market halt.
When a market order is larger than the quantity offered at the best price, it fills against resting orders at progressively worse prices. Because of this the average price you end up with may not equal the last traded price shown on screen.
Once a trade has executed it stands as final. The only time NioX will reverse or adjust a trade is under the error trade provisions written into the trading rules.
6Fees
We apply charges according to the fee schedule shown on the website. Whichever version of that schedule is live when your order fills or your instruction is accepted is the one that governs the charge.
The fee schedule can be revised by NioX. Whenever a charge is set to rise, we let you know before the new figure starts to apply.
7Deposits and withdrawals
Money you pay in has to come from an account or wallet that you control. Anything arriving from a third party is sent back to where it came from.
Send your deposits to the reserve address tied to your account and always include the deposit reference we issued you. A transfer that travels over a network we do not support, or that leaves out the required reference, may be impossible to recover.
Payouts leave from a separate float address once a security review clears. Every payout destination has to sit on your allow list first, and any newly added destination stays on hold for twenty four hours before a withdrawal to it can go out.
A payout can be held back or declined by NioX where the law compels it, where a screening result needs a closer look, or where there is fair reason to suspect fraud or access that was never authorised.
8Client assets
Your digital assets and your money are booked and kept apart from what the company owns, and every business day they are reconciled against the holdings in custody.
A balance shown against your account stands for a claim on NioX for the asset in question. At no point does NioX lend out, pledge, rehypothecate or otherwise put client assets to work for its own benefit.
9Prohibited conduct
The service must never be used for any of the actions below.
- Distort the market through practices such as wash trading, spoofing, layering, momentum ignition, or the placing of orders you never truly mean to fill.
- Trade using information that reached you through a broken duty of confidence.
- Wash the proceeds of crime, bankroll terrorism, dodge sanctions or help anyone else do so.
- Reach the service through automation in a way that harms its performance or slips past a rate limit.
- Supply untrue details, pose as someone else or set up an account that quietly serves a hidden third party.
- Try to break into any system, account or set of data without permission.
10Suspension and closure
NioX can pause access, switch off a particular function, or shut an account whenever the holder breaks this agreement, whenever a legal or regulatory duty demands it, or whenever keeping the account open would leave NioX or other holders facing risk that cannot be accepted.
If an account closes for a reason other than a breach, the holder gets their balances back once anything properly owed has been taken off. Should a legal restriction stop a balance being returned, that balance stays held until the restriction ends.
You are free to shut your own account whenever you like by taking out your balances and sending a closure request from the email address on your record.
11Liability
None of these terms cuts out or caps liability for fraud, for fraudulent misrepresentation, or for anything that the law will not allow to be cut out or capped.
Except for what the paragraph above preserves, NioX carries no liability for lost profit, lost opportunity, loss that flows from a price move, or any indirect or consequential loss.
NioX also bears no liability where a failure or delay springs from something outside its reasonable control, such as a public network going down, a third party custodian or payment provider failing, or an act of government.
12Intellectual property
Ownership of the NioX name, the NioX marks, the website, the mobile application and every piece of content offered through them rests with NioX or with those who license to it. What you receive is a limited licence that can be revoked and that is not exclusive, granted so you can use the service and for nothing beyond that.
13Changes to these terms
These terms are open to amendment by NioX. When a change carries real weight, we announce it ahead of the day it lands. Carrying on with the service past that day means you accept the revised terms. Anyone unwilling to accept a change is free to close their account before the change takes hold.
14Governing law and disputes
The law of the place where NioX is established governs these terms and any dispute that grows out of them, and the courts of that place hold exclusive jurisdiction, though this leaves untouched any binding right you may have to bring a claim in the courts where you live.
We ask that you first put any matter through the complaints procedure so it has a chance to be settled directly, rather than heading straight to court.
